Welcome to YuAskMe. These Terms & Conditions (“Terms”) govern your access to and use of our website (https://yuaskme.com), mobile apps, and AI chatbot services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By registering or using the Services, you represent and warrant that you meet these requirements.

2. Account Registration

• Account Creation: To access certain features, you must register and provide accurate, current, and complete information.
• Credentials: You are responsible for safeguarding your password and any account credentials. Notify us immediately of any unauthorized use.
• Account Termination: We reserve the right to suspend or terminate your account for any breach of these Terms or misuse of the Services.

3. User Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable laws.
• Impersonate any person or entity or misrepresent your affiliation.
• Upload or transmit any viruses, malware, or harmful code.
• Interfere with or disrupt the integrity or performance of our Services.

4. Service Use & Payments

• Free Tier: We may provide certain basic features at no cost.
• Paid Subscriptions: Access to premium features requires a paid subscription. You agree to pay all fees associated with your chosen plan. All payments are non-refundable except as required by law.
• Payment Methods: We accept GCash, PayMaya, and other payment methods as displayed in the app.
• Billing Cycle: Subscriptions renew automatically at the end of each billing period unless canceled at least 7 days prior to renewal.

5. Order Processing

• Accuracy: You are responsible for ensuring that any booking or order details you submit (date, time, items, etc.) are accurate.
• On-Hold Orders: For off-site orders placed via the mobile app, orders remain “on-hold” until you scan the in-store QR code as instructed.

6. Intellectual Property

• Ownership: All intellectual property rights in the Services—including software, designs, text, graphics, and logos—are owned by YuAskMe or its licensors.
• License: You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
• Restrictions: You may not copy, modify, distribute, sell, or create derivative works of any part of the Services.

7. Privacy

Your use of the Services is subject to our Privacy Policy, available at https://www.yuaskme.ai/privacy. By using the Services, you consent to the collection and use of your information as described therein.

8. Disclaimers & Limitation of Liability

• “AS-IS” Basis: The Services are provided “as is” and “as available,” without warranties of any kind.
• No Guarantee: We do not guarantee uninterrupted or error-free operation, nor do we guarantee specific business outcomes.
• Limitation of Liability: To the fullest extent permitted by law, YuAskMe shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Services, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless YuAskMe, its affiliates, and their officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the Services or any breach of these Terms.

10. Modifications to Terms

We may update these Terms from time to time. When we do, we will post the revised date at the top and notify you via the app or email. Continued use of the Services after such changes constitutes your acceptance of the new Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease, and any unpaid fees will remain due.

12. Governing Law & Dispute Resolution

These Terms and any disputes arising under them will be governed by the laws of the Republic of the Philippines, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the courts located in Manila.

13. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and YuAskMe regarding the Services.
